Conditions of participation

Conditions of participation in the “sharemas Advent Calendar 2022” of sharemagazines GmbH

 

(1) The organiser of the competition is sharemagazines GmbH.

(2) Participants must be at least 18 years old and resident in Germany, Austria or Switzerland.

(3) Persons who have subscribed to the Instagram channel of sharemagazines are eligible to participate.

(4) Participation takes place through the interaction(s) specified in the respective post.

(5) In the event of winning, you agree that your name and place of residence may be published on Instagram and/or elsewhere.

(6) The competition consists of various prize opportunities. Each prize opportunity will be announced via a separate Instagram post on the sharemagazines profile. The entry period begins with the publication of the post. The entry period ends at the time specified in the respective post (entry deadline). Participation at a later date is not possible.

(7) The winner will be determined from the participants of a prize opportunity by drawing lots. Each prize is available once. One winner will be drawn for each prize opportunity.

(8) For each prize, a draw will be made by sharemagazines GmbH within a period of three weeks after the closing date for entries. The winner of a prize opportunity will be notified after the draw (notifications will be made by replying to a comment, tagging in a post or in a comment and by Instagram message) – please ensure that you can be contacted by us in these ways if you win. The winner has three working days from the date of notification to confirm the win and provide sharemagazines GmbH with the necessary details. Otherwise, the claim to the prize will lapse and a new draw for the respective prize will take place.

(9) The prize will be delivered by post or e-mail by sharemagazines GmbH or one of its partners.

(10) The participants’ data will only be used for the purpose of conducting the prize draw and sending the respective prize, to the address provided by the winner, and will not be stored further or used for other purposes, unless otherwise stated. For this purpose, it may also be necessary for us to transmit your data to our partners. Please note that we have no influence on which data is stored and processed by Instagram.

(11) By participating, you agree to our privacy policy and our general terms and conditions.

(12) The legal process is excluded.

(13) Cash payment of the prize is not possible.

(14) The prizes only include the prize itself. Any costs incurred, such as travel, will not be covered.

(15) This promotion is not associated with Instagram and is in no way sponsored, supported or organised by Instagram. Instagram is not available as a contact for the competition and is released by you.

(16) Participants agree not to share any unlawful content (this includes but is not limited to insults, false facts, competition, trademark or copyright infringements).

(17) We, sharemagazines GmbH, reserve the right to cancel, change or adjust the competition at any time and without stating a reason.

(18) Employees of sharemagazines GmbH and their relatives are excluded from participation.

Conditions of participation for the bonus programme:
“Refer a Friend”
-Programme of sharemagazines GmbH

§ 1 Scope of Application

These Terms and Conditions of Participation apply to all contractual relationships within the scope of the bonus programme of sharemagazines GmbH, Moorfuhrtweg 17, 22301 Hamburg (hereinafter: sharemagazines). The programme is limited until 31.12.2021. It offers existing customers of sharemagazines the opportunity to recruit new customers for sharemagazines, whereby existing customers receive a one-time bonus of € 25.00 from sharemagazines for each successful advertisement. In addition, new customers who have concluded an effective new customer contract with a minimum term of 12 months with sharemagazines as a result of a successful advertisement shall receive a one-time premium in the amount of € 25.00 per paying location from sharemagazines.

§ 2 Definitions

For the purposes of these Terms and Conditions of Participation, the following definitions shall apply:

(1) Advertiser: any natural person of full age, working as a freelancer, or legal entity who is an existing customer of sharemagazines; the customer status must exist at the time of the advertising action; neither the advertiser nor his/her relatives may be employees or cooperation partners of sharemagazines at the time of the advertising action; all business partners of sharemagazines with whom cooperation partner agreements or contracts have been concluded shall be considered cooperation partners.

(2) Advertising action: any action by which the advertiser transmits an individual voucher code generated by sharemagazines to a third party who is not registered as a customer with sharemagazines at that time (advertising addressee); sharemagazines allows all advertising channels (e.g. SEA, Facebook, e-mail, etc.), subject to the cases of § 6 of these Conditions of Participation; however, the advertiser must independently ensure that the advertising action does not violate these Conditions of Participation or applicable law.

(3) Successful advertising: occurs when a third party registers as a new customer with sharemagazines as a causal and technically comprehensible consequence of an advertising action, in particular through the transmission of the personalised voucher code. It is pointed out that sharemagazines shall not be obligated to register the recommended third party as a new customer, so that the advertiser shall not be entitled to the premium in the event of a rejected registration.

(4) Referred/New Customer: any natural or legal person who becomes a new customer of sharemagazines as a result of a successful advertisement and who has never been listed as a customer of sharemagazines in the past; the advertiser’s claim to remuneration for the advertisement (premium) shall only arise if the referred third party actually becomes a new customer within the meaning of this definition; only legal entities or natural persons who work as freelancers can become a customer or new customer of sharemagazines.

(5) Premium: Remuneration which sharemagazines offers to the advertiser and the recruited party for each successful advertisement; the premium for the advertiser shall be offset against the next possible invoice; the premium for the recruited party shall be credited to the latter with the next possible invoice.

(6) Existing customers: Customers who have paid at least one monthly premium and are no longer in the trial month.

§ 3 Advertising procedure

(1) The advertising action may be carried out via all advertising channels (e.g. social media, e-mail, etc.), subject to the restrictions in § 6 of these conditions of participation.

(2) The advertiser may make his personal voucher code available to third parties (e.g. via social media, on his own website, in his own newsletter, etc.).

§ 4 Data protection

(1) If the new customer sends an enquiry to sharemagazines via the sharemagazines website with the personal voucher code, sharemagazines will store this. The allocation is made to the advertiser via the individual voucher code.

(2) sharemagazines undertakes to treat the personal data of the new customer confidentially in accordance with the applicable data protection regulations and to collect, process, store and use such data during the contractual relationship without further express consent only for the purpose of processing the contract. Details can be found in sharemagazine’s privacy policy.

§ 5 Entitlement to remuneration, terms of remuneration, forfeiture and recovery

(1) In the event of the successful advertising of a new customer, the advertiser shall receive a claim to remuneration (premium) against sharemagazines. sharemagazines shall decide independently on the acceptance into the customer base of the recommended new customer. A claim to the premium shall not arise if sharemagazines decides not to accept the recommended new customer – for whatever reason. sharemagazines reserves the right to change the amount of the premium at any time. The amount of the premium is € 25.00 per paying location of one or more customers. No customers/locations can be acquired within a group of companies. In this respect, no effective claim to remuneration arises.

(2) Special promotional offers may be excluded from the “Business Customers Recruit Business Customers” programme. Payment or exchange of rewards is not possible.

(3) The claim to remuneration shall only become due when all conditions of successful advertising within the meaning of § 2 paragraph 3 of these Conditions of Participation have been fulfilled.

(4) The premium shall be paid to the advertiser by offsetting it against the next possible invoice. A maximum of one premium credit of € 25.00 can be made per invoice on the tariff of the digital reading experience per billing month. Any remaining premium amount will be carried forward by sharemagazines to the following billing period(s); in the event of a termination of the contract before all possible premium claims have been settled, there is no entitlement to a payout. The payment of the premium to the recruited person shall be made by means of a credit note on the next possible invoice.

(5) Should the new customer contest the contract with sharemagazines or terminate it by extraordinary notice, the advertiser’s claim to the premium shall be forfeited, provided that sharemagazines can demonstrate and prove that the reason for the termination of the contract by the new customer is solely the responsibility of the advertiser (e.g. in the case of proven deception by the advertiser). In the event that a premium that has already been paid out is forfeited, it shall be reimbursed to sharemagazines by means of a bank transfer. The advertiser is liable for the full premium amount.

§ 6 Obligations of the Advertiser

(1) The advertiser is obligated to adhere to these conditions of participation and other contractual conditions as well as applicable law in all actions in connection with the advertising of new customers. In the event that contact is made with the advertising addressee, the advertiser shall allow sharemagazines to refer to the advertiser by name. The mass sending of recommendation emails (spam) is expressly prohibited.

(2) The advertiser must ensure that the addressee of the advertisement is a legal entity or a natural person who works as a freelancer. Furthermore, the advertiser must ensure that the advertising to new customers is not based on deception or any other inadmissible influence on the will. Within the scope of due diligence, the advertiser shall also take appropriate measures to avoid misconceptions which could lead to a termination, contestation or other termination of the contract with sharemagazines by the advertising addressee.

(3) sharemagazines attaches great importance to a reputable image. The advertiser is therefore prohibited from using advertising channels whose content violates applicable law or morality. In particular, new customer advertising via websites or social media portals with the following content is prohibited:

  1. depictions and/or content glorifying or trivialising violence;
  2. Inciting, right-wing extremist and/or anti-constitutional representations and content;
  3. depictions and content inciting to commit criminal offences;
  4. pornographic content (especially sexual violence);
  5. other content that violates applicable law (in particular criminal law) and/or morality.

7 Exclusion from the “Business Customers Recruit Business Customers” Programme

(1) sharemagazines is entitled to exclude customers registered with it from the “Business Customers Recruit Business Customers” programme, to temporarily block them or to impose other similar sanction measures against them. Such sanctions may be imposed in particular if the advertiser violates these Terms and Conditions of Participation, other contractual terms and conditions or applicable law in connection with the acquisition of new customers or if the advertiser is suspected of the “Business Customers Recruit Business Customers” programme. The sanction measure imposed in each case does not have to be justified by sharemagazines. There shall be no legal claim to the issuance of such a justification.

(2) The contractual relationship between sharemagazines and the advertiser (location contract) remains unaffected by the sanction measure as defined in paragraph 1.

§ 8 Violation of third party rights

Each existing customer shall independently ensure that he/she does not violate any third party rights in the context of new customer advertising and that he/she complies with all contractual and other legal obligations (including these Terms of Participation). The existing customer shall indemnify sharemagazines against all claims by third parties, which such third parties may assert against sharemagazines on the basis of the customer’s unlawful conduct. This also includes the reasonable costs of legal defence, in particular court and lawyer’s fees in their legal amount. Sentence 2 shall not apply if the member is not responsible for the infringement. In any case, however, the existing customer shall be obligated to inform sharemagazines immediately, completely and truthfully in the event of a possible claim by a third party and to provide all information necessary for verification and defence.

§ 9 Time Limitation and Reservation of Modification and Corresponding Application

(1) The programme is limited until 31.12.2021. A contract concluded after 31.12.2021 on the basis of a voucher code does not trigger any premium claims.

(2) sharemagazines reserves the right to change or cancel the “Business Customers Recruit Business Customers” conditions of participation at any time.

§ 10 Final Provisions

(1) Amendments or supplements to these terms and conditions must be made in text form. This also applies to the cancellation of this text form requirement.

(2) The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

(3) The place of performance as well as the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Hamburg.

(4) Should individual provisions of these terms and conditions be invalid, this shall not affect the validity of the remaining provisions. The ineffective provision shall be replaced by the contracting parties by mutual agreement by a legally effective provision which comes closest to the economic sense and purpose of the ineffective provision. The above provision shall apply mutatis mutandis in the event of loopholes.

Conditions of participation in the “TOP HAIR competition” of sharemagazines GmbH

 

(1) The organiser of the competition is sharemagazines GmbH.

(2) Participants must be at least 18 years of age, have their residence in Germany, Austria or Switzerland and be the owner or manager of a hairdressing salon.

(3) Persons who have completed the contact form on the www.sharemagazines.de/top-hair-gewinnspiel website are eligible to participate.

(4) Participation is effected by sending the contact form.

(5) By submitting the contact form, you take advantage of the free trial month in any case. This starts from the date of completion and is not extended by a subscription. Locations that have already claimed a trial month will not receive a further free trial month. However, this does not exclude participation in the competition.

(6) In the event of a win, you agree that your salon name may be published.

(7) In the event that your ticket is not drawn, you have the option of concluding an annual contract at special conditions after your free trial month. If you decide to take out an annual subscription to sharemagazines within 14 days of the end of the trial month, you will receive a 10% discount on our standard conditions. This offer is only valid for new customers.

(8) Your conditions as a raffle participant: 44.90 € plus VAT /month/location for a contract period of 12 months with a cancellation period of 3 months to the end of the contract.

(9) The winner will be determined from the participants of a prize draw by drawing lots. Each prize is only available once.

(2) Participants must be at least 18 years of age, have their place of residence in Germany, Austria or Switzerland and be the owner or manager of a medical practice, hotel, restaurant, hairdressing salon, fitness studio or car dealership.

(3) Persons who have completed the contact form on the page https://sharemagazines.de/jahresabo-gewinnspiel/ are eligible to participate.

(4) Participation takes place by sending the contact form.

(5) By submitting the contact form, you take advantage of the free trial month in any case. This starts from the date of completion and is not extended by a subscription. Locations that have already claimed a trial month will not receive a further free trial month. However, this does not exclude participation in the competition.

(6) In the event of a win, you agree that your company name may be published.

(7) In the event that your lot is not drawn, you have the option of concluding an annual contract at special conditions after your free trial month. (3) Persons who follow the Instagram and TikTok account sharemagazines are eligible to participate. Participants may enter on Instagram or TikTok or both channels.

(4) Participation takes place through the interaction(s) specified in the respective post.

(5) In the event that you win, you agree that your name and place of residence may be published on Instagram, TikTok and/or elsewhere.

(6) The competition consists of various prize opportunities. Each prize opportunity will be announced via a separate Instagram post (or a separate TikTok post) on the sharemagazines profile.
